Overview #
NOVARIC® works with qualified organisations through a transparent, compliance-led framework for ethical recruitment, workforce mobility, education and international cooperation. Trusted partnerships begin with verified identity, responsible conduct, clear authorisation and accountable communication.
This document sets out the standards that all partners must meet, the process through which partnership approvals are granted, and the conditions under which authorised cooperation may proceed. It is a public governance document intended to inform prospective partners, candidates, employers and institutional stakeholders about NOVARIC®'s approach to partnership governance.
Important notice. Public governance materials explain NOVARIC®'s partnership standards but do not constitute an offer, appointment, authorisation or binding commercial agreement. A partnership becomes operational only when the appropriate agreement has been signed, due diligence has been completed and NOVARIC® has issued written activation for the approved scope.
Public materials explain the framework; legally binding cooperation is established exclusively through separately signed agreements and confidential schedules agreed between NOVARIC® and the relevant partner organisation.
Purpose & Scope #
This framework establishes the standards, eligibility requirements, approval procedures and conduct obligations that apply to all organisations seeking to cooperate with NOVARIC® in any capacity. It applies across the following areas of activity:
- International recruitment sourcing and candidate referral
- Employer and institutional cooperation
- Workforce mobility and international relocation
- Education and student recruitment (where separately authorised)
- Referral and introduction arrangements
- Country-development relationships and market representation
- Approved marketing and candidate outreach on behalf of NOVARIC®
A partner may participate only within the categories, territories and services expressly authorised in writing by NOVARIC®. Activity outside an authorised scope — even if consistent with the partner's own business — is not permitted under this framework.
This framework applies to all NOVARIC® entities and operations, including NOVARIC® Ltd (Malta, C 63881) and NOVARIC® Sh.A. (Albania, NUIS/NIPT M02111033E), and to all partner organisations operating under or seeking to operate under NOVARIC® authorisation across any jurisdiction.
Partnership Principles #
All NOVARIC® partnerships are governed by ten foundational principles. These principles are non-negotiable and apply to all partner categories regardless of scope, jurisdiction or operational arrangement.

Verified Identity & Legal Status
Partners must be identifiable, registered legal entities. NOVARIC® requires proof of legal registration, principal place of business and the identity of persons authorised to act on the organisation's behalf before any partnership agreement is considered. Individual or unregistered operators are not eligible for partnership under this framework.

Lawful Activity in Every Relevant Jurisdiction
Partners must operate lawfully in every country where they conduct authorised activity. This includes compliance with applicable labour law, immigration law, data protection legislation, anti-bribery and anti-corruption requirements, anti-money laundering obligations and consumer protection standards. Partners bear primary responsibility for ensuring their own legal compliance.

Ethical Recruitment & Worker Protection
Partners must never exploit, deceive or endanger candidates, workers or students. No fees may be charged to candidates in excess of what is expressly permitted by applicable law and NOVARIC®'s ethical recruitment standards. Partners must never use deceptive recruitment practices, withhold documents, impose debt bondage or restrict a person's freedom of movement. Candidates must be treated with dignity and respect at every stage.

Transparent Communication
Partners must communicate honestly and accurately with candidates, employers and NOVARIC®. All representations about vacancies, programmes, timescales, costs, eligibility criteria and likely outcomes must be accurate, substantiated and not misleading. Partners must clearly identify their own organisation and the nature of their relationship with NOVARIC® in all communications.

No Guaranteed Immigration or Employment Outcomes
Partners must never guarantee employment offers, visa approvals, work permits, residence rights or university admissions. Such outcomes depend on independent regulatory, governmental or institutional decisions that are outside NOVARIC®'s and any partner's control. Any representation to the contrary constitutes a material breach of this framework and is likely to constitute consumer fraud.

Controlled Use of the NOVARIC® Brand
The NOVARIC® name, trademark, logo and associated brand assets are registered intellectual property. Partners may use NOVARIC® brand assets only within an expressly granted, written brand-use licence forming part of a signed partnership agreement. Unauthorised use of the NOVARIC® name or trademark — including in advertising, signage, social media, or candidate communications — constitutes trademark infringement and may result in legal action.

Data Protection & Confidentiality
Partners must handle all personal data in compliance with applicable data protection law, including the GDPR and any equivalent national legislation. Candidate personal data — including identity documents, contact information and employment history — may only be collected, processed and transmitted to NOVARIC® through approved secure channels and for authorised purposes. Partners must not retain, copy or transmit candidate data for purposes outside the scope of the partnership.

Documented Financial Arrangements
All financial arrangements between NOVARIC® and partners must be documented in a signed agreement and processed through legitimate business banking channels. Partners must not collect payments from candidates on NOVARIC®'s behalf unless expressly authorised in writing to do so and supported by verifiable corporate invoicing. Cash payments, personal bank accounts and informal arrangements are not permitted under this framework.

Human Accountability for Legal & Consequential Decisions
Consequential decisions affecting candidates, workers, students or institutional stakeholders must be made by accountable human personnel. Where NOVARIC® or a partner uses digital tools, automated workflows or AI-assisted processes, human judgement and oversight remain responsible for decisions with legal, employment, immigration, financial or safeguarding implications. Technology may support but must not replace human accountability in these contexts.

Continuous Monitoring & Review
Partnerships are subject to ongoing monitoring and periodic formal review. NOVARIC® reserves the right to request information, conduct compliance reviews, suspend activity or terminate a partnership agreement where conduct is found to be inconsistent with this framework or the terms of the relevant agreement. Authorisation is not permanent and may be modified, suspended or withdrawn.
Partner Categories #
NOVARIC® recognises six partner categories. Participation in any category is subject to eligibility verification, due diligence, signed agreement and written activation. A partner may be approved for more than one category where separate authorisation is granted for each.

Approval Lifecycle #
All partnership approvals follow a structured twelve-stage process. No stage may be bypassed or condensed. Completion of earlier stages does not constitute conditional approval for any partnership activity.
- Initial Enquiry. The prospective partner submits an enquiry through an official NOVARIC® channel — the partnership contact form at novaric.eu/en/contact/?purpose=partnership, verified email, or direct contact with a named NOVARIC® representative. Unsolicited enquiries through unofficial channels will not be processed.
- Acknowledgement & Initial Triage. NOVARIC® acknowledges receipt and assesses whether the enquiry falls within current operational priorities, available capacity and geographic scope. Not all enquiries will proceed to due diligence.
- Preliminary Information Request. Where the enquiry is accepted for review, NOVARIC® requests preliminary organisational information — including the organisation's legal name, country and registration number, principal activities and the name and role of the enquiring representative.
- Formal Due Diligence Pack. NOVARIC® issues a formal due diligence questionnaire covering legal status, regulatory standing, beneficial ownership, compliance history and professional references. All required documentation must be submitted in full before review can proceed.
- Document Verification. NOVARIC® verifies documents submitted against official registers, third-party data sources and, where necessary, independent professional checks. Verification timescales vary by jurisdiction.
- Compliance & Integrity Assessment. The internal compliance function assesses regulatory risk, reputational factors, conflict-of-interest indicators, sanctions screening and eligibility for the requested partnership category. This assessment is confidential and its outcome is not subject to appeal.
- Scope Definition. Where the compliance assessment is satisfactory, NOVARIC® works with the prospective partner to define the approved scope — including the permitted categories, territories, service types and candidate pipeline arrangements.
- Agreement Negotiation & Drafting. The appropriate partnership agreement and any required schedules are drafted to reflect the agreed scope. All agreements are prepared in English. Additional language versions may be provided for reference, but the English-language version is authoritative in all cases of dispute.
- Legal Review. Both parties review the draft agreement with appropriate legal counsel. NOVARIC® recommends all partners obtain independent legal advice before signing.
- Execution of Agreement. The partnership agreement and all applicable schedules are signed by duly authorised representatives of both parties. Electronic signature is accepted through approved platforms. Signatures must not be delegated without express written authority.
- Pre-Activation Compliance Check. Immediately prior to written activation, NOVARIC® confirms that all pre-conditions have been met — including any required training completion, insurance confirmation, data-processing agreements, and banking verification for relevant categories.
- Written Activation. NOVARIC® issues a formal written activation notice specifying the approved scope, effective date, designated NOVARIC® contact and any operational conditions. Partnership activity may begin only from the effective date stated in the activation notice.
Important. Signing a partnership agreement does not automatically authorise advertising NOVARIC® opportunities, collecting candidate data, accepting payments, using the NOVARIC® logo or commencing any operational activity. Written activation is required and specifies the permitted scope from an agreed effective date.
Conditions for Activation #
Partner activity may begin only when all of the following conditions have been satisfied and confirmed in writing by NOVARIC®:
- A full due diligence review has been completed and assessed as satisfactory by NOVARIC®'s compliance function.
- The appropriate partnership agreement has been executed by duly authorised signatories of both parties.
- All applicable schedules — including data-sharing agreements, brand-use licences and commercial terms — have been signed and are in force.
- Where required by the approved category, all mandatory training or orientation has been completed and documented.
- Any required professional indemnity, public liability or other insurance has been confirmed in writing.
- Banking details for the partner organisation have been submitted, verified and recorded for authorised financial arrangements.
- Named authorised representatives have been confirmed and their contact details recorded in NOVARIC®'s internal systems.
- A written activation notice has been issued by NOVARIC® specifying the approved scope and effective date.
Prohibited Conduct #
The following conduct is strictly prohibited under this framework and under any partnership agreement with NOVARIC®. Breach of any of these prohibitions constitutes a material breach and may result in immediate termination of the partnership, civil legal action and referral to relevant regulatory or law enforcement authorities.

- Representing NOVARIC® or acting on its behalf without a current, written authorisation.
- Advertising NOVARIC® vacancies, programmes or services without written permission and before written activation.
- Guaranteeing employment offers, visa approvals, work permits, residence rights or university admissions to candidates.
- Collecting fees, deposits or payments from candidates beyond what is expressly permitted by applicable law and the signed partnership agreement.
- Directing candidates to make payments into personal bank accounts or through informal money transfer channels.
- Using the NOVARIC® name, trademark or logo in any unauthorised manner, including social media profiles, letterheads, certificates or advertising materials.
- Withholding, copying or misusing candidate identity documents, passports or other personal documentation.
- Sharing candidate personal data with third parties outside the approved data-sharing framework.
- Operating outside the categories, territories or services expressly authorised in the signed agreement and activation notice.
- Engaging in deceptive, misleading or high-pressure recruitment tactics.
- Entering into sub-partnerships, appointing sub-agents or delegating authority to third parties without written approval from NOVARIC®.
- Conducting any activity that constitutes human trafficking, forced labour, debt bondage or any other form of exploitation.
- Providing false or misleading information to NOVARIC® at any stage of the partnership process, including during due diligence.
- Continuing to operate as or claim to be a NOVARIC® partner after a partnership has been suspended, terminated or not yet activated.
Public & Confidential Materials #
NOVARIC® maintains a clear distinction between public governance materials — published at novaric.eu for transparency and accountability — and confidential partnership materials, which are protected and shared only with the relevant partner under signed agreement.

What is confidential
The following materials are confidential and are shared only with approved partners under the terms of a signed agreement. These materials are not published and may not be shared without written consent from NOVARIC®:
- Signed partnership agreements and all annexes or amendments
- Commercial terms, fee structures, payment schedules and financial arrangements
- Partner banking details and payment authorisation records
- Candidate submissions, profiles, documents and personal data
- Internal compliance assessments and due diligence findings
- Approved representative lists and internal contact records
- Operational workflows, internal systems access and platform credentials
- Programme-specific schedules covering approved territories, candidate volumes, employer commitments and operational parameters
- Education-recruitment programme authorisations and institution-specific terms
- Data-sharing agreements and data-processing schedules
- Brand-use licence terms and specific approved creative materials
Confidential schedules form part of the binding partnership agreement and supersede any inconsistent general descriptions in public governance documents. Where a public document conflicts with a confidential schedule, the confidential schedule governs for the relevant partner.
Nexus Operational Alignment #
NOVARIC® may use governed digital workflows — referred to internally as NOVARIC® Nexus — to support the management of partnership enquiries, communications and compliance processes. The functions that Nexus may support include:
- Registering and routing partnership enquiries to the appropriate internal team
- Coordinating internal review and maintaining communication records
- Monitoring approval status and escalating compliance concerns
- Supporting the periodic review of active partnerships
- Tracking documentation submission and verification status
- Facilitating internal notification of activation decisions
Human oversight is maintained. In accordance with NOVARIC®'s Responsible AI & Technology Use Position, human judgement remains responsible for all consequential legal, financial, employment, immigration and safeguarding decisions. Digital workflows assist and support human decision-making; they do not replace it. No partnership approval, activation, suspension or termination decision is made by automated systems without human review and authorisation.
Internal infrastructure details — including endpoints, agent prompts, API configurations, platform credentials and workflow architecture — are confidential operational information and are not published in any public governance document.
Version Control #
This document is maintained under NOVARIC®'s document-control procedures and is subject to periodic review, version control and legal approval before publication.
Where a public NOVARIC® governance document is incorporated by reference into a signed partnership agreement, the applicable contractual version will be identified in that agreement. Material commercial terms remain governed by the separately executed contractual documents and are not affected by subsequent updates to public governance standards unless expressly agreed in writing.
NOVARIC® reserves the right to update public governance standards. Updates to public standards take effect on publication for new partnerships. For existing active partnerships, changes to operationally significant standards will be communicated directly to the relevant partner with reasonable notice before they take effect for that partnership.
Operational guidance relating to specific programmes, markets or candidate pipelines may be updated more frequently and communicated directly to relevant partners through established communication channels.
Frequently Asked Questions #
Who can apply to become a NOVARIC® partner?
Any registered legal entity — including recruitment agencies, staffing firms, educational consultancies, mobility service providers, employer organisations and professional referral firms — may submit an enquiry. Eligibility is assessed following the submission of a complete due diligence pack. Individual or unregistered operators are not eligible. Eligibility does not guarantee approval; NOVARIC® determines suitability based on its own compliance assessment, operational requirements and available capacity.
Does submitting an enquiry make my organisation an approved partner?
No. Submitting an enquiry — or any other preliminary contact — does not establish a partnership, create any contractual obligation or authorise any activity. Authorisation is issued only in writing following successful completion of due diligence, agreement execution and written activation. No verbal representations, preliminary discussions or expressions of interest constitute authorisation.
Can a partner advertise NOVARIC® vacancies before signing an agreement?
No. Advertising NOVARIC® vacancies, programmes or services without written authorisation constitutes unauthorised use of the NOVARIC® name and trademark. This applies regardless of whether an agreement has been signed — advertising is authorised only from the effective date stated in the written activation notice and within the scope it specifies.
Can a partner guarantee employment, a visa or admission?
No. No partner — and no person or organisation acting under NOVARIC® authorisation — is permitted to guarantee employment offers, visa approvals, work permits, residence rights or university admissions. These outcomes depend on decisions made by employers, immigration authorities and educational institutions that are entirely outside NOVARIC®'s and any partner's control. Making such a guarantee is prohibited conduct under this framework and is likely to constitute consumer fraud.
Are commercial partnership fees publicly available?
No. Commercial fee arrangements — including any fees payable to or by a partner — are confidential and form part of signed partnership agreements and schedules. NOVARIC® does not publish fee structures for its partner arrangements. Any person or organisation claiming to know NOVARIC®'s fee structure from a public source or from an informal contact should treat such claims with significant caution.
Can a partner use the NOVARIC® logo in its advertising?
Only where a written brand-use licence has been granted as part of a signed partnership agreement, and only within the specific scope set out in that licence. Unauthorised use of the NOVARIC® trademark — including informal or partial reproductions — constitutes trademark infringement regardless of whether the user claims a partnership relationship. A signed agreement alone does not grant brand-use rights; a specific brand-use schedule must be included and signed.
What happens if a partner's authorisation is suspended?
Where a partner's authorisation is suspended — whether for compliance review, a reported breach or another reason — all authorised activities under the partnership must cease immediately from the date of notification. The partner must not represent itself as a current NOVARIC® partner during the period of suspension, must not collect candidate data or payments, and must not use NOVARIC® brand assets. The agreement will specify the procedure for suspension, review and potential reinstatement.
How can suspected misconduct be reported?
Anyone who suspects a person or organisation of misrepresenting themselves as a NOVARIC® partner, or of engaging in prohibited conduct, should report their concerns promptly. Reports may be made through the Fraud Awareness & Reporting page at novaric.eu/en/governance/fraud-awareness/, by email to admin@novaric.co, or by contacting NOVARIC® through an independently verified official channel. All reports are treated seriously and handled confidentially.
